CLUB RULES

KYLYVNYK CLUB, use of platform functions, interaction with other participants, use of a digital club card, participation in platform events, interaction with platform partners, participation in the Business Introductions system and use of other services provided by KYLYVNYK CLUB.

These Rules are in addition to:

  • Terms of Use;

  • Privacy Policy;

  • Cookie Policy;

  • Partner Rules;

  • Business Implementation Rules;

  • Refund Policy;

  • Disclaimer;

  • other official platform documents.

Using the platform means the participant’s full and unconditional agreement with these Rules.

If a participant does not agree with these Rules, he must stop using the platform.

In the event of a conflict between these Rules and the Terms of Use, the Terms of Use shall prevail, unless otherwise expressly provided in the platform documents.

KYLYVNYK CLUB has the right to change, limit, expand or terminate certain functions of the platform, participation programs, membership categories, services, events and other features of the platform in accordance with the Terms of Use.

2. WHO CAN BE A PARTICIPANT

Any individual who meets the requirements of the platform and accepts the terms of the platform documents can become a member of the KYLYVNYK CLUB.

The use of the platform is permitted only to persons who have reached the age of 18 or the age of majority established by the laws of the user’s country of residence.

The Platform has the right to establish additional requirements for certain functions, programs, events, categories of participation or certain territories.

The Platform has the right to introduce procedures for verifying identity, confirming contact information, confirming residential address, confirming country of residence, confirming user status, or other user verification procedures.

The Platform has the right to refuse registration or limit access to certain functions of the Platform in cases permitted by applicable law.

Registration on the platform does not create an obligation for the platform to maintain user access to the platform indefinitely.

3. CATEGORIES OF PARTICIPATION

KYLYVNYK CLUB may provide various categories of participation, the scope of rights, privileges, restrictions and functions of which are determined by the platform.

Participation categories may include:

  • Free Member;

  • VIP Member;

  • other categories of participation that may be introduced by the platform in the future.

The Platform has the right, at its sole discretion, to create new categories of participation, change existing categories, merge them, split them, rename them, or terminate individual participation programs.

No category of membership gives the user the right to demand the retention of certain functionality, status or privileges in the future.

3.1 FREE MEMBER

Free Member is the basic category of participation in the KYLYVNYK CLUB.

A participant in this category can use platform functions that are currently provided free of charge.

Free Member functionality may include:

  • registration on the platform;

  • creating an account;

  • receiving a digital club card;

  • use of the main functions of the platform;

  • viewing the catalog of partners;

  • viewing special conditions of partners;

  • participation in open platform events;

  • receiving platform information materials;

  • use of other free functions available at the time of use of the platform.

The Platform has the right to change, limit, expand or discontinue the provision of certain free functions at any time.

3.2 VIP MEMBER

VIP Member is an extended membership category.

VIP Membership may be provided on a paid, free, promotional, test or other basis at the discretion of the platform.

VIP Member can access additional platform features including:

  • the ability to submit an application for posting a business profile;

  • the opportunity to participate in the Business Introductions system;

  • the ability to recommend clients to other participants and partners of the platform;

  • the opportunity to obtain additional tools for business interaction;

  • access to closed groups;

  • access to private chats;

  • participation in closed meetings;

  • participation in business events;

  • participation in educational events;

  • participation in networking events;

  • access to additional platform materials;

  • access to additional platform functions;

  • participation in special platform programs;

  • participation in future VIP programs;

  • other functions defined by the platform.

To access certain VIP functions, the platform has the right to request confirmation of identity, contact details, country of residence, residential address, business information or other information that the platform reasonably deems necessary.

Having VIP Member status does not automatically mean posting a business profile.

The placement of a business profile is carried out only after verification and approval by the platform in accordance with the Partner Rules, Terms of Use and other platform documents.

The Platform has the right, at its sole discretion, to approve, reject, hide, limit or delete a business profile in accordance with the applicable platform rules.

Having VIP Member status does not guarantee:

  • placement of a business profile;

  • maintaining a business profile;

  • receiving clients;

  • receiving orders;

  • obtaining contracts;

  • making a profit;

  • generating income;

  • receiving recommendations;

  • obtaining Business Introductions;

  • receiving discounts;

  • obtaining special conditions;

  • business development;

  • achieving commercial results;

  • obtaining business opportunities;

  • receiving investments;

  • obtaining partners;

  • receiving a certain number of requests or contacts.

Payment for VIP Membership provides access to additional platform features, but is not payment for customers, advertising, sales, leads, recommendations, deals, income or guaranteed commercial results.

The composition and scope of VIP Member functions may be changed by the platform at any time.

The Platform has the right to introduce additional levels of participation, special programs, extended statuses, business statuses, regional programs, club programs and other forms of participation at its own discretion.

4. RULES OF CONDUCT OF PARTICIPANTS

The participant is obliged:

  • comply with the law;

  • comply with these Rules;

  • respect other platform participants;

  • respect platform partners;

  • use the platform in good faith;

  • comply with the rules of communication and business ethics;

  • do not interfere with the operation of the platform;

  • do not abuse the platform functions;

  • do not use the platform for manipulation, artificially influencing the reputation of participants or partners, publishing fictitious reviews or other unfair practices.

The participant is obliged to independently evaluate any business, commercial or other offers received through the platform.

The platform is not obligated to monitor all user actions and does not guarantee the accuracy of any information posted by participants.

5. RELIABILITY OF INFORMATION

The Participant undertakes to provide accurate, current and complete information.

The participant is obliged to promptly update his data if it changes.

The user has no right:

  • use false information;

  • impersonate another person;

  • use other people's data without permission;

  • create fictitious accounts;

  • create accounts on behalf of organizations without the necessary authority.

KYLYVNYK CLUB has the right to request documents or additional information to verify the user’s identity or confirm the information provided.

Such documents may include identification documents, proof of residential address, contact details, photographs, video proof of identity, business registration documents, or other information that the platform reasonably deems necessary.

Failure to provide reasonably requested information may result in limitations on certain features of the platform or termination of access to the platform.

Providing documents or passing verification does not imply approval, recommendation, guarantee, or acceptance of responsibility by the platform for the user’s activities.

6. PARTICIPANT ACCOUNT

The participant is responsible for the security of his account.

The participant is obliged:

  • use a strong password;

  • ensure the confidentiality of login information;

  • promptly update contact information;

  • maintain the relevance of information about your country of residence, residential address and other data, if such information is used by the platform;

  • immediately notify the platform of suspected unauthorized access.

The participant is responsible for actions performed through his account until the platform is notified of a possible compromise of the account.

The platform has the right to temporarily restrict access to an account if there are signs of a security breach, fraud, abuse of platform functions, or other circumstances that create a risk for the platform, users or partners.

7. DIGITAL CLUB CARD

The platform can provide members with a digital club card.

The digital club card is intended solely to identify the member within the platform and use the functions available to the corresponding membership category.

The club card may contain:

  • username;

  • card number;

  • participant status;

  • category of participation;

  • validity period;

  • other information determined by the platform.

The digital club card is not:

  • bank card;

  • credit card;

  • debit card;

  • payment instrument;

  • electronic wallet;

  • investment product;

  • financial instrument.

Having a club card in itself does not guarantee the receipt of discounts, special conditions, services, goods or other benefits.

The participant is required to present a valid club card or otherwise confirm his/her status as a participant in cases where this is required to receive special conditions or access to certain functions of the platform.

The platform has the right to change the appearance, format, functionality and mechanism for using the club card at any time.

8. INTERACTION WITH PARTNERS

Platform partners are independent third parties.

The participant independently makes decisions about interaction with platform partners.

Before purchasing goods or services, the participant must independently evaluate:

  • terms of the offer;

  • cost of goods and services;

  • availability of licenses and permits;

  • quality of goods and services;

  • partner's reputation;

  • other significant circumstances.

KYLYVNYK CLUB is not a party to agreements between participants and partners.

The Platform does not guarantee:

  • availability of special conditions;

  • amount of discounts;

  • quality of goods;

  • quality of services;

  • availability of goods;

  • availability of services;

  • fulfillment of obligations by partners.

Any transactions between the participant and the partner are carried out solely at the risk and responsibility of the respective parties.

The participant is solely responsible for checking the applicability of special conditions, validity periods of offers, territorial restrictions and other essential conditions of a particular offer.

9. BUSINESS INTRODUCTIONS

The Platform may provide the opportunity to participate in the Business Introductions system.

Business Introductions are intended to facilitate the establishment of business contacts between participants and partners of the platform.

Business Introductions may include:

  • exchange of contact information with the consent of the parties;

  • acquaintance of participants;

  • business recommendations;

  • participation in business events;

  • other forms of business interaction.

Business Introductions are not:

  • employment;

  • agency activities;

  • brokerage activities;

  • investment activities;

  • franchising;

  • MLM system;

  • guarantee of receiving clients;

  • guarantee of income;

  • guarantee of transactions.

The Platform does not guarantee any results from participation in the Business Introductions system.

Participants independently make decisions about entering into business relationships, negotiating, concluding agreements or carrying out any commercial actions after receiving Business Introduction.

10. COMPLAINTS AND APPEALS

Participants have the right to send complaints, requests and messages about possible violations to the platform.

KYLYVNYK CLUB has the right, but is not obliged:

  • consider requests;

  • request additional information;

  • conduct internal audits;

  • temporarily limit certain functions of the platform for the period of verification;

  • temporarily restrict access to certain sections of the platform for the period of verification;

  • request explanations from participants or partners;

  • take measures provided for by the platform documents.

The Platform is not obligated to act as an arbitrator, mediator or representative of any party to the dispute.

The fact that an appeal is being considered does not mean that someone is right or wrong.

KYLYVNYK CLUB has the right to make decisions based on information that the platform considers reasonably sufficient in a particular situation.

The Platform is not required to disclose internal audit materials, internal decision-making procedures, or information received from third parties.

11. PROHIBITED ACTIVITIES

When using the platform, the participant is prohibited from:

  • violate the law;

  • use the platform for fraudulent purposes;

  • post false or misleading information;

  • impersonate another person;

  • use other people's data without permission;

  • create fictitious accounts;

  • use automated means for unauthorized access to the platform;

  • distribute malicious software;

  • interfere with the operation of the platform;

  • bypass technical limitations of the platform;

  • use the platform to send spam;

  • use the platform for mass imposition of goods, services, investments or other commercial offers without the consent of the recipients;

  • publish illegal content;

  • violate intellectual property rights;

  • use the platform for harassment, threats, discrimination or other forms of unfair behavior;

  • abuse the Business Introductions system;

  • abuse special conditions of partners;

  • carry out activities that could cause damage to the platform, participants or partners.

12. CORRECTION MEASURES

In case of violation of these Rules, Terms of Use or other platform documents, KYLYVNYK CLUB has the right to apply one or more of the following measures:

  • warning;

  • request to eliminate the violation;

  • limitation of certain platform functions;

  • temporary restriction of access;

  • temporary restrictions on participation in certain programs;

  • temporary restriction of the use of Business Introductions;

  • temporary restriction of the use of special functions;

  • restriction of access to certain categories of participation;

  • restricting access to individual events, groups or platform programs;

  • suspension of participant status;

  • termination of access to certain sections of the platform;

  • account deletion;

  • refusal to re-register.

The choice of a specific measure is made solely at the discretion of the platform, taking into account the nature of the violation, the degree of risk and other circumstances of the particular situation.

The application of one measure does not limit the platform's right to apply additional measures in the future.

13. TERMINATION OF ACCESS

The participant has the right to stop using the platform at any time.

KYLYVNYK CLUB has the right to limit, suspend or terminate user access in whole or in part in the following cases:

  • violations of platform documents;

  • violations of the law;

  • providing false information;

  • refusal to undergo identity verification or other verification provided for by the platform documents;

  • complaints from users or partners;

  • creating legal, financial, operational or reputational risks for the platform;

  • abuse of platform functions;

  • other circumstances that the platform reasonably considers sufficient to restrict access.

The platform’s decision to restrict or terminate access can be made either for a certain period or indefinitely, depending on the circumstances of a particular case.

Termination of access does not create an obligation for the platform to return previously paid payments, except in cases expressly provided for by applicable law.

KYLYVNYK CLUB has the right to retain archival records, interaction history, verification documents and other information to the extent necessary to comply with the law, prevent fraud, resolve disputes and protect the legitimate interests of the platform.

14. NO WARRANTY

The platform is provided on an “AS IS” and “AS AVAILABLE” basis.

KYLYVNYK CLUB does not guarantee:

  • receiving discounts;

  • obtaining special conditions;

  • receiving clients;

  • generating income;

  • making a profit;

  • receiving orders;

  • obtaining contracts;

  • obtaining Business Introductions;

  • business development;

  • achieving commercial results;

  • preservation of any platform functions;

  • constant availability of the platform;

  • no errors or technical failures;

  • compatibility of the platform with any devices, software or third-party services;

  • data security in the event of circumstances beyond the reasonable control of the platform.

Use of the platform is at the participant's own risk.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, KYLYVNYK CLUB, Kylyvnyk Consulting LLC, its owners, employees, contractors, representatives and affiliates are not responsible for:

  • actions or inaction of participants;

  • actions or inactions of partners;

  • transactions between participants and partners;

  • loss of profit;

  • loss of clients;

  • data loss;

  • loss of business reputation;

  • lost profits;

  • indirect losses;

  • special damages;

  • punitive damages;

  • accidental losses;

  • loss of business opportunities;

  • loss of potential clients;

  • consequences of decisions made by a participant based on information received through the platform.

The maximum aggregate liability of the platform to the participant is limited to the amount actually paid by the participant to the platform for the last three (3) calendar months immediately preceding the occurrence of the relevant claim.

If the participant does not pay for the platform services within the specified period, the platform shall not be liable for monetary liability to the maximum extent permitted by law.

16. COMPLIANCE WITH LAW

The participant must comply with the applicable laws of his country of residence, the country where he operates and other jurisdictions whose laws apply to the actions of the participant.

The participant is solely responsible for compliance with legal requirements.

KYLYVNYK CLUB does not provide legal, financial, investment, tax, accounting or other professional advice.

17. CHANGES TO THE RULES

KYLYVNYK CLUB has the right to change these Club Rules from time to time.

The updated version is published on the platform indicating the new effective date or the date of the last update.

Continued use of the platform after the changes come into force means the participant’s consent to the updated version of the Rules to the extent permitted by applicable law.

If a participant does not agree with the changes, he must stop using the platform.

18. COMPLETENESS OF THE AGREEMENT

These Club Rules are part of the general legal documentation of the KYLYVNYK CLUB.

Together with the Terms of Use, Privacy Policy, Cookie Policy, Partner Rules, Business Implementation Rules, Refund Policy, Disclaimer and other official platform documents, these Rules constitute the entire agreement between the participant and the platform regarding the use of the platform.

In the event of a conflict between these Club Rules and the Terms of Use, the Terms of Use shall prevail, unless otherwise expressly provided in the platform documents.

KYLYVNYK CLUB has the right to independently determine the procedure, timing and volume of responses to participants’ requests, unless otherwise provided by mandatory legal requirements.

20. LANGUAGE OF THE DOCUMENT

These Club Rules may be translated into other languages solely for the convenience of users.

In the event of any discrepancies, inconsistencies or differences between translations, the official English version of the document shall prevail.
