Using the Business Introductions functions means the user's full and unconditional agreement with these Rules.
In the event of a conflict between these Rules and the Terms of Use, the Terms of Use shall prevail, unless otherwise expressly provided in the platform documents.
KYLYVNYK CLUB has the right to change, limit, expand or discontinue the provision of Business Introductions functions at any time.
2. WHAT IS BUSINESS INTRODUCTION
Business Introduction is a platform function aimed at facilitating the establishment of business contacts between participants, partners and other users of the platform.
Business Introduction may include:

introduction of two participants;

acquaintance of the participant and partner;
-
exchange of contact information with the consent of the parties;
-
business recommendations;
-
invitations to business communication;
-
participation in networking events;
-
participation in business meetings;
-
participation in platform events;
-
other forms of business interaction.
Business Introduction is solely a business communication facilitation service and does not constitute a sale of a client, a sale of a lead, or a guarantee of a commercial result.
Business Introduction is not a recommendation, endorsement, certification, guarantee of reliability or confirmation of the qualifications of any participant, partner, business, product or service.
Business Introduction does not constitute legal, financial, investment, tax, accounting, personnel or other professional advice.
Participants make their own decisions regarding any actions taken after receiving Business Introduction.
3. WHO CAN USE BUSINESS INTRODUCTIONS
Access to Business Introductions features may be limited to members of certain membership categories as determined by the platform.
The Platform has the right to independently determine:

categories of participants who have access to Business Introductions;
-
scope of available functions;
-
terms of use;
-
territorial restrictions;
-
additional requirements for participants.
To access certain features of Business Introductions, the platform may request proof of identity, contact details, residential address, country of residence, business information or other information that the platform reasonably deems necessary.
The Platform has the right to refuse to provide access to Business Introductions or limit such access based on the results of internal audits, complaints, violations of platform documents, or other circumstances that the Platform reasonably considers significant.
Providing access to Business Introductions does not create an obligation for the platform to maintain such access indefinitely.
4. ORDER OF OPERATION OF BUSINESS INTRODUCTIONS
Business Introduction can be provided by the platform in a variety of ways, including:

providing the opportunity to exchange contact information;

organizing acquaintance between participants;
-
organizing acquaintance between the participant and the partner;
-
holding platform events;
-
holding networking events;
-
holding business meetings;
-
provision of other tools for business communication.
The platform independently determines the procedure for providing Business Introductions functions.
The Platform has the right to use automated systems, internal selection criteria, manual moderation, assessment of participant activity, assessment of compliance of requests, or other methods for determining the possibility of providing Business Introduction.
The Platform has the right to refuse to provide a specific Business Introduction without explanation in cases permitted by applicable law.
The Platform is not obligated to provide Business Introductions to all participants or for all requests.
The Platform does not guarantee the number of Business Introductions, the frequency of their delivery, the quality of business contacts, or the achievement of any results after a Business Introduction.
5. VOLUNTARY PARTICIPATION
Participation in the Business Introductions system is voluntary.
No participant is obliged to:

accept Business Introduction;
-
enter into negotiations;
-
exchange contact information;
-
conclude transactions;
-
purchase goods or services;
-
provide goods or services;
-
continue business communication after meeting.
All decisions about interaction after Business Introduction are made by participants independently and at their own risk.
Participants independently determine the conditions for further interaction, negotiations, agreements, settlements, conclusion of agreements and other relations after Business Introduction.
Participants are independently responsible for conducting their own verification of counterparties, partners, clients, suppliers and other persons with whom they interact after Business Introduction.
KYLYVNYK CLUB does not control and is not obligated to control further relations between participants after the implementation of Business Introduction.
6. NO WARRANTY
KYLYVNYK CLUB does not guarantee that any Business Introduction will lead to:

receiving a client;
-
receiving an order;
-
receiving a contract;
-
making a profit;
-
receiving income;
-
receiving investments;
-
getting a partner;
-
employment;
-
conclusion of a transaction;
-
business development;
-
achieving commercial results;
-
receiving recommendations;
-
receiving Business Introductions of a certain amount;
-
gaining access to specific participants or partners;
-
establishing long-term business relationships;
-
receiving any other benefits.
The Platform does not guarantee the number of Business Introductions, the frequency of their provision, the quality of business contacts, the level of training of participants, the financial condition of participants, the integrity of participants, or the achievement of any results after a Business Introduction.
Any results depend on numerous factors beyond the control of the platform.
7. PROHIBITED USE OF BUSINESS INTRODUCTIONS
When using Business Introductions features, participants are prohibited from:

use Business Introductions for fraudulent purposes;
-
provide false information;
-
impersonate another person;
-
use other people's contact information without permission;
-
use Business Introductions to send spam;
-
use Business Introductions for mass imposition of goods, services, investments or other commercial offers without the consent of recipients;
-
abuse the trust of other participants;
-
collect personal data of participants in violation of the law;
-
use Business Introductions for illegal activities;
-
use Business Introductions for harassment, pressure, threats or other forms of unfair behavior;
-
use the contacts received despite the other party’s previously expressed refusal to further communicate;
-
use Business Introductions in a way that could cause damage to the platform, participants or partners.
The Platform has the right to limit or terminate access to Business Introductions functions if violations are detected.
8. INDEPENDENCE OF THE PARTIES
All contributors and partners using Business Introductions are independent entities.
The use of Business Introductions does not create a relationship between participants, partners and the platform:

employer and employee;
-
agent and principal;
-
representative and principal;
-
franchising;
-
joint venture;
-
investment intermediation;
-
brokerage relationships;
-
partnerships;
-
other relationships not directly provided for by the platform documents.
KYLYVNYK CLUB is not a party to any negotiations, agreements, transactions or other relations arising after Business Introduction.
The platform is not involved in negotiations,
determining the terms of transactions, settlements between the parties or fulfillment of the obligations of the parties, unless otherwise expressly provided for by the platform documents.
9. PRIVACY AND CONTACT INFORMATION
Participants independently decide whether to provide their contact information to other persons.
The Platform may facilitate the exchange of contact information solely to the extent provided for by the platform documents and applicable law.
Contact information obtained as part of Business Introduction must be used exclusively for lawful purposes.
Participants are prohibited from:

distribute contact information without the consent of its owner;
-
use contact information for spam;
-
use contact information in violation of the legislation on the protection of personal data;
-
use the received information in ways that could cause harm to other participants or the platform.
The use of personal data is governed by the platform's Privacy Policy.
Participants are solely responsible for compliance with personal data protection laws when using information received through Business Introductions.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by law, KYLYVNYK CLUB, Kylyvnyk Consulting LLC, its owners, employees, contractors, representatives and affiliates are not responsible for:

actions or inaction of participants;

actions or inactions of partners;
-
transactions between participants;
-
transactions between participants and partners;
-
loss of profit;
-
loss of income;
-
loss of clients;
-
loss of business opportunities;
-
data loss;
-
loss of business reputation;
-
lost profits;
-
indirect losses;
-
special damages;
-
punitive damages;
-
accidental losses;
-
consequences of decisions made by participants after Business Introduction;
-
refusal of the other party to cooperate;
-
termination of negotiations;
-
failure to achieve expected commercial results;
-
failure to obtain investments, customers, orders or business opportunities.
The platform's maximum aggregate liability for any claims arising out of the use of Business Introductions is limited to the amount actually paid by the participant to the platform for the last three (3) calendar months immediately preceding the occurrence of the claim.
If the participant does not pay for the platform services within the specified period, the platform shall not be liable for monetary liability to the maximum extent permitted by law.
11. COMPLAINTS AND INSPECTIONS
Participants have the right to send complaints, requests and messages to the platform about possible violations related to the use of Business Introductions.
KYLYVNYK CLUB has the right, but is not obliged:
-
consider requests;
-
request additional information;
-
conduct internal audits;
-
request explanations from participants or partners;
-
temporarily limit certain functions of Business Introductions during the review period;
-
temporarily restrict access to certain categories of participants, programs, events or platform functions for the period of review;
-
take measures provided for by the platform documents.
The Platform is not obligated to act as an arbitrator, mediator or representative of any party to the dispute.
The fact that an appeal is being considered does not mean that someone is right or wrong.
KYLYVNYK CLUB has the right to make decisions based on information that the platform considers reasonably sufficient in a particular situation.
The Platform is not required to disclose internal audit materials, internal decision-making procedures, or information received from third parties.
12. LIMITATION OR TERMINATION OF ACCESS TO BUSINESS INTRODUCTIONS
KYLYVNYK CLUB has the right to limit, suspend or terminate user access to Business Introductions functions in whole or in part in the following cases:

violations of these Rules;
-
violations of other platform documents;
-
violations of the law;
-
providing false information;
-
refusal to undergo identity verification or other verification provided for by the platform documents;
-
abuse of Business Introductions functions;
-
complaints from participants or partners;
-
creating legal, financial, operational or reputational risks for the platform;
-
other circumstances that the platform reasonably considers sufficient.
Restriction or termination of access may be temporary or permanent, depending on the circumstances of a particular case.
Termination of access to Business Introductions does not create an obligation for the platform to provide any compensation, payments, or guarantee continued access to the feature in the future.
Restriction or termination of access to Business Introductions does not mean automatic termination of access to other functions of the platform, unless otherwise specified by the platform.
13. COMPLIANCE WITH LAW
Participants must comply with the applicable laws of their country of residence, country of business and other jurisdictions whose laws apply to their actions.
Participants are independently responsible for compliance with legal requirements, including legislation on the protection of personal data, advertising, consumer protection, licensing of activities, sanctions regulation and other applicable standards.
Participants are solely responsible for obtaining the necessary licenses, permits, registrations and other documents if such requirements are provided for by applicable law.
KYLYVNYK CLUB does not provide legal, financial, investment, tax, accounting, personnel or other professional advice.
14. CHANGES TO THE RULES
KYLYVNYK CLUB has the right to change these Business Introduction Rules from time to time.
The updated version is published on the platform indicating the new effective date or the date of the last update.
Continued use of Business Introductions features after the changes come into force means the user agrees to the updated version of the Rules to the extent permitted by applicable law.
If the user does not agree to the changes, he must stop using the Business Introductions features.
15. COMPLETENESS OF THE AGREEMENT
These Business Introduction Rules are part of the general legal documentation of KYLYVNYK CLUB.
Together with the Terms of Use, Privacy Policy, Cookie Policy, Club Rules, Partner Rules, Refund Policy, Disclaimer and other official platform documents, these Rules constitute the entire agreement between the user and the platform regarding the use of Business Introductions functions.
In the event of a conflict between these Business Introduction Rules and the Terms of Use, the Terms of Use shall prevail, unless otherwise expressly provided in the platform documents.
If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

In the event of any discrepancies, inconsistencies or differences between translations, the official English version of the document shall prevail.
